License Agreement: The Management Package
The Management Package (the "office") is software made and operated by RaptorLockIP LLC ("RaptorLockIP," "we," "us," or "our") as part of FreeholdIP. This License Agreement ("Agreement") is between RaptorLockIP and the organization that sets up an office ("your organization" or "you"). The person who sets up the office accepts this Agreement on the organization's behalf, and represents that they have the authority to do so. Everyone your organization invites to the office must follow it. If your organization does not agree, do not use the office.
1. The license
We grant you a limited, non-exclusive, non-transferable, revocable license to use the office for your organization's own work while your office is open, from the day it is set up until it is closed. You may not resell, sublicense, or rent the office to others, copy or reverse engineer it except as the law allows, or use it to build a competing product.
2. Your records are yours
- Your organization keeps all of its rights in its records. It gives us permission to store them and pass them along only as this Agreement describes, and only to run the office. We keep our rights in the software.
- The records your office keeps (contacts, gifts, notes and the rest) are encrypted on your own devices, under your office's key, before they are sent to our server. Our server stores them sealed and cannot read them.
- Some things are not sealed, because the server needs them to work: your organization's name, which teammate saved which record and when, and how large each record is. Pages and forms your organization chooses to publish (a website, a giving page, a registration form) are public by design. Our web server keeps ordinary access logs (the address a request came from, the page asked for, and the time), never the contents of your records.
- What a visitor types into a form your office publishes (a member form, a registration, a message) is encrypted in the visitor's own browser, under your office's key, before it is sent, so our server cannot read it either. Payments on a giving or ticket page are taken by Stripe; card details never reach our server.
- Because we cannot read your records, we cannot open them for you. A teammate's password opens the office only in the browser where they joined it. If your recovery words are lost and no browser that holds your office can be opened, your records cannot be recovered, by you or by us. Keep your recovery sheet somewhere safe.
- Every teammate's browser can open all of your office's records, apart from those your office keeps under its separate restricted key. Choosing which tabs a teammate sees changes what they see, not what they can reach, so invite only people you trust with your records.
- Your office's Settings has Download everything as CSV and JSON (your records in the open, for a spreadsheet or for leaving) and Download your backup file (sealed, for restoring the office later with your recovery words).
- You are responsible for what your organization puts in the office, for having the right to keep it, and for who in your organization you invite.
3. Connecting QuickBooks Online
Connecting the office to QuickBooks Online is optional. If you connect it:
- You sign in on Intuit's own page and choose which QuickBooks company to connect. We never see your Intuit password.
- The connection Intuit gives back is kept encrypted among your office's records, like the rest of them. Our server stores only that encrypted copy.
- The office reads from QuickBooks only when someone in your office asks it to: it brings in your General Ledger for the days they choose, and shows what is new before anything is kept. Unlike your stored records, your books and the connection pass through our server in readable form on their way between Intuit and your office, only while it carries out a request from your office. Our server does not save them.
- The office reads from QuickBooks only. If we add a way for the office to write into QuickBooks, it will stay off until your organization turns it on.
- You can disconnect at any time from the office. Disconnecting removes the connection from your office and asks Intuit to end it. Nothing already brought into the office is removed.
- Your use of QuickBooks is governed by your own agreement with Intuit. RaptorLockIP is not affiliated with Intuit. QuickBooks is a trademark of Intuit Inc.
4. Acceptable use
You agree not to use the office unlawfully; to store or send content that is fraudulent, deceptive, infringing, or harmful; to send newsletters or other bulk email to people who have asked your organization to stop, or in any way the law forbids; or to attempt to disrupt, attack, or gain unauthorized access to the office or its infrastructure.
5. Fees
Any fees for the office are agreed with your organization separately, in writing.
6. Ending this Agreement, and your records afterward
- Your organization may stop using the office at any time. To close your office, email support@freeholdip.com.
- We may suspend or end your organization's access if it breaks this Agreement. We may discontinue a part of the office with at least 30 days' notice to your organization, and end the office altogether with at least 90 days' notice.
- We never hold your records back. However access ends, and whoever ends it, your organization can get its records: for 60 days after an office is closed, the people in it can still sign in and use Download everything as CSV and JSON and Download your backup file. If we ever have to suspend access at once to stop harm, we will still give your organization a way to get its records within those 60 days.
- Within 30 days after those 60 days end, we delete the office's records from our server. Our backups are nightly copies on two other servers, each kept for 7 nights, so every backup copy of the deleted office is gone within 10 days after that.
7. Disclaimers and limitation of liability
The office is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the office, QuickBooks Online, or any other third-party service will be uninterrupted, error-free, or secure. Check what the office shows you against your own books before relying on it.
To the fullest extent permitted by law, RaptorLockIP and its owners, operators, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, funds, profits, or goodwill, arising from or related to your use of the office. To the fullest extent permitted by law, our total liability for any claim relating to the office will not exceed the greater of the amount your organization paid us for it in the twelve months before the claim, or one hundred US dollars ($100).
8. Changes, governing law, and contact
We may update this Agreement from time to time; the "Last updated" date above shows the current version. When we change it in a way that matters, we email your organization at least 30 days before the change takes effect, we raise its version number, and your office's Settings shows the new version and asks your organization to accept it. This Agreement is governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute that is not otherwise resolved. See also our Privacy Policy and Terms of Service. If this Agreement and the Terms of Service disagree about the office, this Agreement controls, and a written agreement signed with your organization controls over both.
